A través del presente trabajo de investigación se plantea que la incorporación de cláusulas
paraguas resulta conveniente para los Tratados Bilaterales de Inversión suscritos por el Perú
debido a que representan un espacio neutral para la solución de disputas relativas a inversiones,
conllevando a fomentar la imparcialidad y consiguiendo ciertas garantías para los inversionistas
que determinen la seguridad jurídica de las inversiones. Se mantiene como base de análisis los
diversos Tratados Bilaterales de Inversión, los cuales constituyen un instrumento fundamental
del Derecho de las Inversiones. Es así que resulta controversial la relación de dichas cláusulas
paraguas, constituidas como disposiciones, en relación a su alcance e igualmente respecto a su
aplicación. Actualmente, la determinación de las cláusulas paraguas ha generado ciertas dudas
respecto a la posibilidad de surgir conflictos con el derecho local.
Se realizará como diseño y contrastación de hipótesis el No experimental, y como métodos de
aplicación para la investigación, el deductivo, método que se empleará para poder revisar las
cláusulas expresas de protección contenidas en los Tratados Bilaterales de Inversión y, el
inductivo; método que servirá para poder analizar algunos casos de arbitrajes de inversiones
donde se han mencionado las cláusulas paraguas a fin de poder determinar si el incumplimiento
contractual genera una violación a un Tratado Internacional. Se considera igualmente al método
jurídico exegético, método a través del cual se estudiará la normatividad jurídica aplicada,
tratados internacionales. Se ha empleado para dicha investigación materiales como libros,
artículos web, jurisprudencia arbitral, análisis sobre casos precedentes ante al CIADI.
Finalmente, a través de la indagación se demostrará que la cláusula paraguas representa un
instrumento de integración entre el derecho local e internacional, debido a que garantiza los
derechos contractuales bajo un tratado internacional. Through this research, it is argued that the incorporation of umbrella clauses is convenient for
the Bilateral Investment Treaties, signed by Peru because they represent a neutral space for the
resolution of disputes related to investments, leading to promote fairness and achieving certain
Guarantees for investors that determine the legal security of investments. The Bilateral
Investment Treaties, which constitute a fundamental instrument of Investment Law, are
maintained as a basis for analysis. It is thus controversial the relationship of these umbrella
clauses, constituted as dispositions, in relation to its scope and also with respect to its
application. At present, the determination of the umbrella clauses has raised some doubts
regarding the possibility of conflicts with local law.
The non-experimental hypothesis will be designed and contrasted, and as methods of
application for the investigation, the deductive method will be used to be able to review the
express protection clauses contained in the Bilateral Investment Treaties and the inductive; A
method that will be used to analyze some cases of investment arbitrations where the umbrella
clauses have been mentioned in order to be able to determine whether the breach of contract
generates a violation of an International Treaty. It is also considered the exegetical legal
method, method through which will be studied the applied legal regulations, international
treaties. Materials such as books, web articles, arbitration jurisprudence, analysis of previous
cases before the ICSID have been used for this investigation.
Finally, through inquiry, it will be shown that the umbrella clause represents an instrument of
integration between local and international law, because it guarantees contractual rights under
an international treaty.
