La empresa familiar. Lineamientos jurídicos y fácticos que inciden en su regulación normativa

Abstract

La investigación denominada la empresa familiar, lineamientos jurídicos y fácticos que inciden en su regulación normativa, surge a partir de que la empresa familiar en nuestro país no se encuentra asociada a una forma jurídica específica, sino que, se adopta el tipo legal que más le acomode a la organización empresarial, aplicándoseles la normativa específica del tipo societario escogido que estipula la Ley General de Sociedades, lo que deja a nuestro parecer un vacío jurídico ante las eventuales controversias que pudieran surgir de la constitución, creación, evolución, consolidación y trasmisión de las empresas familiares, dicha realidad problemática se sintetizó en el siguiente problema: ¿Cuáles son los lineamientos que inciden en la regulación normativa de la empresa familiar en el Perú? Para la presente investigación se utilizaron métodos lógicos, así como, jurídicos. Así mismo, se usaron las técnicas de análisis documental doctrinario y normativo, la encuesta y la entrevista. Del análisis de los resultados se puede establecer que éstos confirman la hipótesis, ya que se obtuvieron como principales conclusiones que, los lineamientos jurídicos como son; el protocolo familiar, el family office y el consejo de familiar; y, los lineamientos fácticos, como la idiosincrasia de los miembros de la empresa familiar son factores que inciden indefectiblemente en la regulación normativa de la empresa familiar; y, que la regulación normativa de la empresa familiar generaría repercusiones positivas, fundamentalmente en la solución ideal de las controversias que pudieran surgir de ellas.

The investigation called the family business, legal and factual guidelines that affect its normative regulation, arises from the fact that the family business in our country is not associated with a specific legal form, but rather the legal type that best suits accommodates the business organization, applying the specific regulations of the chosen corporate type stipulated by the General Law of Companies, which in our opinion leaves a legal void in the event of any controversies that may arise from the constitution, creation, evolution, consolidation and transmission family businesses, this problematic reality was synthesized in the following problem: What are the guidelines that affect the normative regulation of family businesses in Peru? For the present investigation, logical as well as legal methods were used. Likewise, the techniques of doctrinal and normative documentary analysis, the survey and the interview were used. From the analysis of the results, it can be established that they confirm the hypothesis, since the main conclusions were obtained that, the legal guidelines as they are; the family protocol, the family office and the family council; and, factual guidelines, such as the idiosyncrasy of the members of the family business are factors that unfailingly affect the normative regulation of the family business; and, that the normative regulation of the family business would generate positive repercussions, fundamentally in the ideal solution of the controversies that could arise from them.
